For a leading international Company working in Agricultural field and grains import & export, located in New Cairo, we are looking for Corporate Legal Counsel who should meet following requirements:

Candidate Requirements:

• – Fluency in Arabic and Russian — mandatory
• – In-depth knowledge of the Egyptian Joint Stock Companies Law
• – Practical experience in shareholder structure, corporate governance, shareholder rights, charters, and agreements
• – Ability to analyze and draft documents regulating relationships between founders and shareholders
• – Understanding of mechanisms for protecting against unwanted share dilution and loss of control.

Core Competencies:

• – Legal expertise in corporate law, including company registration, shareholder changes, and share issuance
• – Document analysis and drafting skills: charters, shareholder agreements, resolutions, powers of attorney
• – Knowledge of procedures for interaction with Egyptian authorities: company registration, amendments, notarization
• – Experience supporting corporate decisions: convening meetings, documenting resolutions, protecting majority shareholder interests
• – Ability to tailor legal instruments to strategic business objectives.
