The Role


We're seeking an experienced Legal Manager to own our commercial contract function and support our growing business across the MEA region. You'll work directly with our sales and partnerships teams to structure and negotiate B2B SaaS agreements, manage supplier relationships, and collaborate with external counsel on investment-related matters.

This is a high-impact role where you'll be the primary legal partner to our commercial teams, balancing legal protection with business velocity in a fast-growing fintech/identity verification space.


Key Responsibilities


Commercial Contracts (90%)


  • Draft, negotiate, and finalize B2B SaaS agreements including MSAs, SOWs, SLAs, and DPAs with enterprise customers
  • Structure and negotiate channel partner agreements, reseller arrangements, and system integrator partnerships
  • Manage vendor and supplier contracts including technology licenses, service agreements, and professional services contracts
  • Create and maintain contract templates and playbooks to enable sales team efficiency
  • Advise on commercial terms, pricing structures, liability caps, and risk allocation in customer deals
  • Support complex multi-party agreements including consortium deals and public sector tenders
  • Ensure contracts comply with relevant data protection regulations (GDPR, local data privacy laws)
  • Navigate regulatory requirements for digital identity services in UAE (DIFC, CBUAE) and across MEA markets
  • Support data residency, localization, and security certification requirements in customer agreements
  • Advise on cross-border data transfer mechanisms and regulatory frameworks
  • Monitor regulatory developments affecting digital identity and biometric authentication services
  • Develop compliance frameworks and guidance for customer-facing teams on regulatory obligations
  • Support audit and certification processes (ISO 27001, SOC 2, etc.)


Investment & Corporate Matters (10%)


  • Collaborate with external legal counsel on fundraising documentation, shareholder agreements, and corporate governance
  • Support due diligence processes for investment rounds and strategic partnerships
  • Assist with corporate housekeeping and entity management across jurisdictions


Required Qualifications


  • 5-6 years post-qualification experience as a lawyer, preferably with a mix of law firm and in-house experience
  • LLB or equivalent law degree (admission to Egyptian Bar or relevant jurisdiction is a benefit)
  • Strong B2B commercial contract experience, ideally in consulting, tech or SaaS industries
  • Proven track record of negotiating and closing complex commercial agreements in a team with business and technology experts
  • Understanding of B2B SaaS business models, subscription agreements, and technology licensing
  • Familiarity with data protection laws and cross-border regulatory requirements
  • Experience working with sales teams and translating legal requirements into business-friendly language
  • Excellent English drafting skills (Arabic is a plus)
  • Ability to work independently with minimal supervision while knowing when to escalate


Preferred Experience


  • In-house experience at a tech company, fintech, or digital services provider
  • Exposure to digital identity, KYC/AML, biometric authentication, or cybersecurity industries
  • Knowledge of UAE regulatory environment (DIFC, CBUAE, ADGM, mainland UAE)
  • Experience with MEA regional contracts and multi-jurisdictional considerations
  • Prior involvement in investment transactions or fundraising processes


What Success Looks Like


  • Month 1-3: Assume ownership of contract pipeline, streamline templates, reduce contract cycle times
  • Month 4-6: Work with the team to close 90%+ of commercial deals without escalation; establish trusted advisor relationship with sales & tech leadership
  • Month 6-12: Implement scalable contract processes, reduce external legal spend on routine matters, proactively identify and mitigate company risks
