ure Minds Media specialize in a media and technology partner serving brands and government entities across the Kingdom. We deliver corporate identity and collateral, brand manuals, creative campaigns, media packages, studio services, exhibitions and conferences, TV coverage and commercials, documentaries, photography, lighting/display/audio systems with stage installation, and end-to-end documentation of projects from concept to completion. On the digital side, we design and build secure, high-traffic websites and event management platforms.
We are seeking a Corporate Legal Counsel with strong knowledge of Saudi Companies Law to provide corporate legal support and ensure compliance with Saudi regulations for cross-border business activities.
Responsibilities:
Provide legal advice on all matters related to corporate laws, commercial regulations, and corporate governance.
Draft, review, examine, and negotiate all commercial contracts and agreements (including partnership, supply, services, agency agreements, employment contracts, memoranda of understanding, and others).
Handle company incorporation procedures and branches, amendments to articles of association and bylaws, mergers and acquisitions, restructuring, and liquidation processes.
Ensure compliance with laws and regulations issued by relevant governmental and regulatory authorities, such as the Ministry of Commerce, the Ministry of Investment, and other regulatory bodies.
Advise management on potential legal risks and propose preventive and alternative solutions to mitigate such risks.
Monitor updates and amendments to laws and regulations, assess their impact on the company’s operations, and prepare periodic reports for management.
Supervise legal disputes, litigation, and arbitration matters in coordination with external legal advisors.
Prepare, review, and update internal policies and legal procedures in line with governance and compliance requirements.
Provide legal support to various departments (Human Resources, Finance, Procurement, Sales, and Operations).
Manage and maintain legal records and contracts, and organize the company’s legal archiving system.
Handle cross-border legal matters between Egypt and Saudi Arabia.
Qualifications
Strong knowledge of Saudi Companies Law .
Previous residency and professional work experience in Saudi Arabia.
Strong legal drafting, negotiation, and analytical skills.
Fluent in Arabic and English.
