Legal & Compliance Consultant

(Part-Time / Advisory – Early-Stage Fintech & Venture Studio)

📍 Egypt | Part-time / Retainer Basis

Egypteneur is an early-stage venture studio building fintech and digital economy products, including ElitePay, HerWallet Cash, JuniorCash, and many other products. The company is now in its post-establishment phase, requiring targeted legal and compliance support to enable partnerships, operations, contracting, and regulatory readiness — not a full in-house legal department.

Scope of Work – Current Phase Focus

The consultant will support Egypteneur primarily in the following areas:

1. Corporate & Governance Matters (LLC – Post-Establishment)

Advising on corporate governance matters applicable to a Limited Liability Company (LLC).

Reviewing and advising on management authorities, signing powers, and internal resolutions.

Supporting any future amendments to the LLC’s constitutional documents or Commercial Register (CR), if required.

Ensuring ongoing compliance with GAFI requirements and applicable corporate regulations governing LLCs.

2. Contracting & Commercial Agreements

Drafting and reviewing:

NDAs and MoUs

Merchant agreements

Bank and financial institution agreements

Service provider and vendor contracts

Ensuring contracts are legally sound, commercially reasonable, and enforceable

3. Regulatory & Compliance Advisory (Fintech-Oriented)

Providing guidance on applicable fintech, wallet, payments, and data protection regulations

Advising on regulatory boundaries, risks, and permissible business models

Supporting regulatory positioning in discussions with banks or regulators (when required).

4. Risk & Documentation Readiness

Identifying legal and compliance risks relevant to early-stage operations

Ensuring documentation is structured, consistent, and audit-ready

Advising on internal controls without introducing unnecessary bureaucracy.

Engagement Model

Part-time / retainer-based engagement

Involvement is transactional and milestone-driven, not operational or daily

Activated during key events: incorporation, partnerships, launches, regulatory interactions

> This role is advisory in nature and does not include day-to-day legal administration or in-house compliance operations.

Reporting & Coordination:

Reports directly to the Founder / Operations or Finance Lead

Works closely with Product and Partnerships when contracts or regulatory matters arise.

Profile We Are Looking For:

-Strong experience in corporate law, commercial contracts, and regulatory advisory

-Prior exposure to fintech, payments, financial services, or regulated industries is highly preferred

-Ability to translate legal requirements into clear, actionable business guidance

-High level of discretion, professionalism, and regulatory awareness.
